Agreement
- Kindly take the time to thoroughly read this Terms of Use agreement (hereafter referred to as “Terms of Use” or “Terms”). These Terms are pivotal in governing the interaction and utilization of TicketWallet.co and the “Ticket Wallet” mobile applications (collectively, the “Digital Platforms”), owned and operated by Ticket Wallet, Inc. (“Ticket Wallet”). Every visitor or user engaging with the Digital Platforms, including but not limited to the utilization of services and resources made accessible or enabled through the Digital Platforms (individually referred to as a “Service” and collectively as the “Services”), is subjected to these Terms.
- By engaging actions such as clicking on “I Agree”, “Proceed with Order”, or “Register”, completing the registration steps, executing a purchase, listing a ticket, browsing the website, or downloading the Ticket Wallet application (referred to as the “App”), YOU ARE ESTABLISHING A LEGALLY BINDING AGREEMENT. You hereby confirm that: (1) you have comprehensively read, understood, and agreed to adhere to these Terms of Use, (2) you meet the legal age requirement to establish a binding agreement with Ticket Wallet, and (3) you possess the authority to endorse these Terms of Use either personally or on behalf of the entity you’ve represented as the user, binding that entity to these Terms. The term “you” is a reference to the individual or corporate entity, as applicable, registered as the user on the Digital Platforms. If you disagree with any part of these Terms of Use, your recourse is to refrain from accessing or utilizing any Digital Platform or the Services.
- It is crucial to note that these Terms elucidate the mechanisms governing the resolution of claims that you or we may have against each other, including claims that have arisen or were asserted before the enactment of these Terms of Use. SPECIFICALLY, IT CONTAINS AN ARBITRATION CLAUSE THAT, WITH FEW EXCEPTIONS, MANDATES THE SUBMISSION OF DISPUTES TO BINDING AND FINAL ARBITRATION. UNLESS AN OPT-OUT IS EXECUTED, DISPUTES WILL BE RESOLVED BETWEEN YOU AND TICKET WALLET EXCLUSIVELY ON AN INDIVIDUAL BASIS, AND NOT THROUGH ANY FORM OF CLASS ARBITRATION, CLASS ACTION, OR OTHER REPRESENTATIVE PROCEEDINGS, OR VIA A JURY TRIAL.
- Certain Services may require adherence to additional terms (“Additional Terms”), which will either be included in these Terms of Use or presented for your agreement during the registration for such specific Service. In cases of inconsistency between these Terms of Use and the Additional Terms, the latter will prevail. These Terms of Use together with any applicable Additional Terms are collectively referred herein as the “Terms.”
- BE ADVISED THAT TICKET WALLET RESERVES THE RIGHT TO AMEND THESE TERMS AT ITS SOLE DISCRETION AND AT ANY GIVEN TIME. If the revised Terms are not acceptable to you, your only recourse is to cease using the Digital Platforms and the Services. Continued interaction with or use of the Digital Platforms or Services signifies your acceptance of such revisions. IT IS RECOMMENDED TO REVIEW THE WEBSITE REGULARLY FOR THE MOST UPDATED TERMS.
Ticket Marketplace
- Ticket Wallet provides a sophisticated online secondary marketplace that enables Users (hereinafter referred to as "Users") to purchase (referred to as a “Buyer”) and list (referred to as a “Seller”) tickets, including related items for various events (individually or collectively referred to as a “Ticket”). Essentially, our Services are crafted to facilitate a platform that seamlessly connects Buyers and Sellers. It is pivotal to understand that Ticket Wallet does not offer any guarantees pertaining to transactions orchestrated or listed through Ticket Wallet’s ticket marketplace regarding (a) the existence, quality, safety, or legality of the Tickets, (b) the veracity or accuracy of the Seller’s listings or content, (c) the capability of Sellers to vend Tickets or the Buyers’ ability to complete payments for them, or (d) the assurance that a Buyer or Seller will finalize any given transaction.
No Endorsement
- It's important for users to understand that unless explicitly indicated by Ticket Wallet, the showcasing of any Tickets or Sellers on our Digital Platforms does not imply, insinuate, or constitute an endorsement by us of those specific Tickets or Sellers. Additionally, it does not indicate any form of sponsorship of Ticket Wallet by such Sellers, nor does it represent any affiliation between such Sellers and Ticket Wallet.
- Users should exercise their own judgment and discretion when dealing with Sellers on our platform, as the listing of Tickets does not attest to their quality or the credibility of the Sellers. Ticket Wallet does not validate or endorse any items or Sellers listed on the Digital Platforms unless expressly stated.
Tickets
- The prices of Tickets on Ticket Wallet are established by either the seller or Ticket Wallet (referred to as the “Ticket Price”), and these prices can either align with, exceed, or be lower than the original Ticket price. It’s crucial for Buyers to note that, unless explicitly indicated on the Ticket, its listing, confirmation page, or email, Tickets might be transferable, regardless of the name printed on the Ticket.
- Buyers and Sellers should exercise caution and due diligence during transactions. Every user is responsible for adhering to the outlined Terms and respecting the transaction processes facilitated by Ticket Wallet.
Buying Tickets
- Purchasers are entirely accountable for completing their transactions in acquiring Tickets, inclusive of the payment of any associated charges. When you commit to buying a Ticket, you establish a legally binding contract with the Seller to acquire the stated Ticket. All transactions are conclusive, and barring events that are canceled, refunds are not granted for any finalized purchase. Orders cannot be modified or canceled post-completion.

Agreement
You consent to provide the Seller and Ticket Wallet with accurate information requisite for the Tickets' delivery, inclusive but not limited to, email and physical addresses (if required). In instances where incorrect delivery information is provided, or unavailability to receive the Tickets upon delivery, eligibility for a refund or Buyer Guarantee (detailed subsequently) is forfeited. -
Price Comparison Feature
- Introduction
"Ticket Wallet" provides a Price Comparison feature that allows users to compare the price of tickets available on our platform with those listed on other major ticket marketplaces. This feature is designed to offer transparency and assist users in making informed decisions.
- Price Comparison Accuracy
While we strive to provide the most accurate and up-to-date information, "Ticket Wallet" cannot guarantee the accuracy, timeliness, or completeness of the price data displayed in the comparison chart. Prices on other marketplaces are subject to change and may vary in real-time. Users are encouraged to visit the respective marketplaces for the most current ticket prices.
- External Marketplaces
The Price Comparison feature includes data from various external ticket marketplaces.We acquire this data from partnerships we have established with these marketplaces. These platforms have their own terms of service, privacy policies, and pricing structures, which users should review independently. "Ticket Wallet" is not responsible for the content, policies, or practices of these external platforms.
- No Endorsement
Displaying ticket prices from other marketplaces does not imply endorsement or partnership with these platforms. The Price Comparison feature is solely for informational purposes to aid users in their purchasing decision.
- Limitation of Liability
"Ticket Wallet" provides a Price Comparison feature that allows users to compare the price of tickets available on our platform with those listed on other major ticket marketplaces. This feature is designed to offer transparency and assist users in making informed decisions.
- User’s Acknowledgement
By using the Price Comparison feature, users acknowledge and agree to the terms outlined in this section. They accept that "Ticket Wallet" is providing this feature as a convenience and agree not to hold "Ticket Wallet" responsible for any discrepancies in ticket prices or information displayed in the comparison chart.
- Modifications and Availability
"Ticket Wallet" reserves the right to modify, suspend, or discontinue the Price Comparison feature at any time without notice. We are not liable to users or any third party should we exercise such rights.
- Data Usage
Information displayed in the Price Comparison feature may be derived from third-party sources. Users acknowledge that the use and availability of this feature are subject to the terms and conditions of these third-party sources.
- Introduction

Use of Ticket Bot Technology
Concealing identity via multiple IP addresses or email addresses, or any other mechanisms to execute Ticket transactions on the Ticket Wallet online marketplace is prohibited. Usage of ticket bot technology to search, reserve, or acquire Tickets through Ticket Wallet’s online platform is forbidden. This prohibition extends to the circumvention of any security, access control systems, or other technological controls implemented on Ticket Wallet’s platform to enforce Ticket purchase limits or uphold the integrity of online Ticket purchasing order rules. -
Original Ticket Price
Ticket Wallet may disclose the original ticket price of a Ticket listed on our Digital Platforms prior to purchase, contingent on legal compliance. Buyers should be cognizant that (i) disclosure of the original price is only possible if the information is accessible, either from our records as the primary ticketing service provider for the initial sale or directly from the Seller, and (ii) in cases where this information is provided by the Seller, Ticket Wallet does not independently authenticate the veracity or accuracy of the information. - In utilizing Ticket Wallet’s services, users are affirming their understanding and acceptance of these stipulations, and their commitment to conduct their transactions in alignment with the outlined parameters.
Selling Tickets
- It’s crucial for Sellers to understand that Ticket Wallet cannot provide assurances regarding (a) the eligibility of every Ticket purchased on Ticket Wallet for resale on the same platform (for instance, there could be scenarios where a tour promoter requests disabling of resale), or (b) the timeline within which you will receive your Ticket from another Seller, ensuring you have ample time to resell the Ticket ahead of the event.
- Additionally, there may be instances where Sellers are unable to list a Ticket for resale at their preferred price. For example, Ticket Wallet might impose a price ceiling as a measure to counteract fraudulent activities or for other security and integrity reasons.
- Sellers are required to adhere to these conditions and understand that selling Tickets on Ticket Wallet is subject to these stipulations, aimed at maintaining the security, integrity, and equitable use of our platform for all users. Every Seller is responsible for adhering to these guidelines, ensuring that their listing practices are compliant and respectful of the platform’s rules and the broader user community.

Use of Machine Learning Technology
- Dynamic Pricing Mechanism
“Ticket Wallet” employs advanced machine learning algorithms to dynamically price tickets listed on our platform to ensure competitive and fair pricing. By using our services, sellers agree to the automatic adjustment of ticket prices based on real-time market conditions, buyer demand, and other relevant factors.
- Price Floor Option
Sellers have the option to set a price floor for their listed tickets, ensuring that tickets will not be priced below the designated minimum value. The machine learning algorithm respects this constraint, balancing optimal pricing with the seller's specified minimum price. Sellers are responsible for setting and managing their price floor and acknowledge that tickets may not sell if the price floor is set too high relative to market conditions.
- Consent and Authorization
Sellers expressly consent to the application of our machine learning technology to determine the optimal price of their listed tickets. Sellers acknowledge that the pricing is subject to change without prior notice and agree that “Ticket Wallet” is not liable for fluctuations in ticket prices.
- Data Use and Privacy
Our machine learning technology utilizes a variety of data, including but not limited to historical sales data, event popularity, and market trends. All data is processed in compliance with our Privacy Policy, ensuring that sensitive information is protected and secure.

Point of Sale System and Ticket Distribution
- Multi-Platform Distribution
“Ticket Wallet” provides a Point of Sale (POS) system that enables the distribution of tickets not only on our platform but also across major ticket marketplaces globally. Sellers benefit from increased visibility and sales opportunities by listing their tickets on multiple platforms simultaneously.
- Authorization for Distribution
By listing tickets on “Ticket Wallet”, sellers grant us the authorization to distribute their tickets to partnered marketplaces, including but not limited to Ticketmaster, SeatGeek, VividSeats, StubHub, GameTime, TickPick, etc. Sellers agree to comply with the terms and conditions of these partnered platforms.
- Revenue and Payments
Sellers will receive payments for their sold tickets minus applicable fees, as detailed in our Service Fees section.
- Responsibility and Liability
Sellers are responsible for ensuring that their tickets comply with the terms and conditions of both “Ticket Wallet” and the partnered marketplaces. “Ticket Wallet” is not liable for any violations, penalties, or losses incurred due to non-compliance by the seller.

Cross-Marketplace Pricing Adjustment
- Overview
“Ticket Wallet” takes pride in offering an extensive reach for ticket sellers by not only listing tickets on our platform but also distributing them across major ticket marketplaces. This expanded visibility ensures that sellers have the optimal opportunity to sell their tickets to a wide audience.
- Platform Fees Recoupment
Sellers acknowledge that other ticket marketplaces may impose their own platform fees. To maintain profitability and continue offering our expansive ticket distribution service, “Ticket Wallet” may mark up the ticket prices when listed on external platforms to recoup these additional fees. This ensures that the ticket prices listed on our platform remain competitive and attractive to potential buyers.
- Ticket Price Variation
As a result of the markup to cover external platform fees, sellers understand that the selling price of their tickets on other platforms may be higher than the listed price on “Ticket Wallet.” This variation in price is essential to offset the fees imposed by external platforms and is not an additional profit for “Ticket Wallet.”
- Seller’s Consent
By listing tickets on “Ticket Wallet,” sellers expressly consent to this pricing adjustment mechanism. They acknowledge and agree that ticket prices may vary across different platforms due to the incorporation of external platform fees, and that “Ticket Wallet” will adjust the prices accordingly to mitigate these costs.
- Overview
Ticket Holder Behavior Policy
- Attendees of live events are obligated to comply with the stipulations and regulations set forth by the venue, promoter, and any other entities responsible for organizing the event. Non-compliance with these rules and policies may result in actions taken against you or the original ticket holder or seller. Should you or another individual using a ticket purchased from Ticket Wallet breach these regulations, you are held accountable for all pertinent fines and costs associated with legal or other expenses arising thereof.
- If you are requested to vacate the event premises or miss portions of the event due to suspected or confirmed misconduct, eligibility for a refund or any form of compensation is nullified. Moreover, any breach that leads to the forfeiture of the ticket seller’s season ticket privileges or the right to access other tickets at that venue, or the opportunity to procure additional tickets from that venue, incurs liability. You will be responsible for all reasonable costs, losses, and expenses correlated with such loss. This includes, but is not limited to, direct, indirect, consequential, exemplary, incidental, special, or punitive damages, as well as lost profits.
- Every ticket holder is expected to exhibit decorum and respect for the established rules and policies, ensuring a safe and enjoyable experience for all attendees. The onus is on the ticket holder to be informed and compliant, recognizing that any deviations from expected conduct carry associated repercussions as outlined.
Authorization
- You grant permission to your wireless carrier (AT&T, T-Mobile, Verizon, or any other specific wireless operator) to reveal to Ticket Wallet and its affiliated third-party service providers essential personal and device information. This information includes your mobile number, name, address, email, network status, customer type, customer role, billing type, mobile device identifiers (IMSI and IMEI), and other related subscriber and device details if accessible.
- This authorization is intended exclusively for the verification of your identity and the prevention of fraud throughout the duration of your business relationship with Ticket Wallet. Refer to our Privacy Policy to gain insights on our protocols concerning the handling and protection of your data. We are committed to upholding the highest standards of privacy and security, ensuring your information is safeguarded and utilized appropriately.
Ticket Wallet Properties and User License

Ownership and License
You acknowledge that the Ticket Wallet Properties, encompassing the Digital Platforms, Services, and all content therein, are protected by global copyright laws. Ticket Wallet and its suppliers retain all rights, title, and interest in and to the Ticket Wallet Properties. Under these Terms, you are granted a limited, non-exclusive, revocable license to use the Ticket Wallet Properties for personal or internal business operations. -
Application Usage
You may download, install, and use a copy of the Application on a device you own or control, adhering to the "Usage Rules" in the Apple App Store Terms of Service for App Store Sourced Applications. Ticket Wallet may offer updates to the Application, which you agree can be automatically installed on your device. -
User Obligations and Restrictions
You are committed to respecting the intellectual property rights of Ticket Wallet and its suppliers. Actions including but not limited to unauthorized duplication, reproduction, or modification of Ticket Wallet Properties are strictly prohibited. You agree not to:- License, sell, or commercially exploit the Ticket Wallet Properties;
- Remove or alter proprietary rights notices embedded in the Ticket Wallet Properties;
- Use automated means to scrape or download data from the Digital Platforms;
- Create similar or competitive websites, applications, or services utilizing Ticket Wallet Properties.

Updates and Modifications
Ticket Wallet Properties are dynamic. You agree to accept and install updates that are occasionally required to enhance functionality, security, and performance. Ticket Wallet reserves the right to modify the Application and content with or without prior notice to improve user experience and comply with legal or contractual obligations. -
Violations and Penalties
Violating these terms results in an immediate revocation of your license to use Ticket Wallet Properties and may incur legal actions. All rights not expressly granted are reserved by Ticket Wallet and its suppliers. Users accessing the Digital Platforms acknowledge the exclusive rights of Ticket Wallet and are expected to uphold and respect these rights. -
Consent and Acceptance
By accessing and using Ticket Wallet Properties, you signify your consent and acceptance to these Terms. You are obliged to uphold the integrity of the intellectual property rights associated with the platform, ensuring legal and ethical utilization. All unauthorized use is subject to penalties, including immediate termination of access and potential legal action. - This combination captures the essence of both sections, maintaining clarity while providing detailed information on user rights, restrictions, and obligations regarding the use of Ticket Wallet Properties. Adjust as needed to fit your specific legal and business requirements.
Registering Your Account
- To utilize specific features of Ticket Wallet Properties, you might be obligated to register as a user. For the context of these Terms, a “Registered User” refers to an end user of the Services who has created an account on the Digital Platforms, or who possesses a valid account on a social networking service (SNS) through which the user has connected to the Services; such an account is referred to as a "Third-Party Account.”

Registered Users gain access to personalized features and options to optimize their experience with Ticket Wallet Properties and Services. -
Third-Party Account
Users have the option to link their Ticket Wallet accounts to established Third-Party Accounts on social networking services. This connectivity enhances seamless interaction and integrated user experience between Ticket Wallet and the respective SNS platforms. Users must ensure that their Third-Party Account information is complete and accurate to facilitate this integration. -
Account Security
Registered Users are responsible for maintaining the confidentiality of their account credentials and are liable for all activities that occur under their respective accounts. Any unauthorized use of a user’s account or other security breaches should be promptly reported to Ticket Wallet for immediate action. - By registering an account with Ticket Wallet, users agree to provide accurate, current, and complete information during the registration process and to update such information to maintain its accuracy and completeness. Ticket Wallet reserves the right to suspend or terminate accounts that are found to contain inaccurate, false, or incomplete information.
Access Through a SNS
- If you access Ticket Wallet Properties via a Social Networking Service (SNS) as a part of the functionality of the Digital Platforms, Application, and/or Services, you have the option to link your Account with Third-Party Accounts. This is facilitated by granting Ticket Wallet permission to access your Third-Party Account, adhering to the terms and conditions that oversee your use of each Third-Party Account.
- You assure that you are authorized to disclose your Third-Party Account login details to Ticket Wallet and/or allow Ticket Wallet access to your Third-Party Account. This is without violating any terms and conditions that govern your use of the applicable Third-Party Account and without imposing any fee obligations or usage limitations enforced by such third-party service providers on Ticket Wallet.

It’s imperative to note that your interactions with third-party service providers linked to your Third-Party Accounts are exclusively governed by your agreements with such third-party service providers. Ticket Wallet disclaims any responsibility for personal information that may be provided to it by these third-party service providers, especially if such provision violates the privacy settings configured in your Third-Party Accounts. -

As a user, your privacy is paramount, and it’s essential to review the privacy settings of your Third-Party Accounts to understand the information you are sharing. Ticket Wallet is committed to maintaining robust privacy protocols, but the user’s relationship with third-party service providers can impact the information that Ticket Wallet receives. - By linking your Third-Party Account to your Ticket Wallet account, you acknowledge and agree to the sharing of information between these platforms as per the privacy settings and agreements established with the third-party service providers. Ticket Wallet remains committed to ensuring that your data is handled with the utmost privacy and security.
Access Through a SNS
- If you access Ticket Wallet Properties via a Social Networking Service (SNS) as a part of the functionality of the Digital Platforms, Application, and/or Services, you have the option to link your Account with Third-Party Accounts. This is facilitated by granting Ticket Wallet permission to access your Third-Party Account, adhering to the terms and conditions that oversee your use of each Third-Party Account.
- You assure that you are authorized to disclose your Third-Party Account login details to Ticket Wallet and/or allow Ticket Wallet access to your Third-Party Account. This is without violating any terms and conditions that govern your use of the applicable Third-Party Account and without imposing any fee obligations or usage limitations enforced by such third-party service providers on Ticket Wallet.

Ticket Wallet remains committed to ensuring that your data is handled with the utmost privacy and security.
- When creating an account with Ticket Wallet’s Services, you commit to (1) offering true, accurate, current, and complete information about yourself as prompted by the registration form ("Registration Data"), and (2) updating this Registration Data to ensure it remains true, accurate, current, and complete. You assert that you are (1) at least thirteen (13) years old, (2) of legal age to enter into a binding contract, and (3) not prohibited from using Ticket Wallet Properties under the laws of the United States, your place of residence, or any other pertinent jurisdiction.

Account Security
You bear the responsibility for all activities occurring under your Account. Sharing your Account or password is not allowed. You commit to (1) instantly notify Ticket Wallet of any unauthorized usage of your password or any security breach, and (2) log out of your Account at the conclusion of each session. If you supply information that is false, inaccurate, outdated, or incomplete, or if Ticket Wallet has valid reasons to suspect such, Ticket Wallet possesses the authority to suspend or terminate your Account and deny present or future use of Ticket Wallet Properties (or any segment thereof). -
Prohibitions and Penalties
Creating an Account with false identity or information, or on behalf of another individual other than yourself is prohibited. Infringing upon this incurs a possible fee of no less than $50,000. You are limited to one Account per platform or SNS at any given time. Ticket Wallet reserves the authority to remove or reclaim any usernames anytime and for any reason, such as claims by a third party that a username infringes the third party’s rights. -
Restrictions
If you have been previously expelled by Ticket Wallet or banned from any of Ticket Wallet Properties, you are prohibited from creating an Account or utilizing Ticket Wallet Properties. Every user is obliged to adhere to these conditions, ensuring that their registration and usage of Ticket Wallet’s Services are in strict alignment with these outlined terms and conditions. Each user’s compliance guarantees the integrity, security, and optimal functionality of Ticket Wallet’s ecosystem for all stakeholders. - To connect to Ticket Wallet Properties, you are required to furnish all equipment and software essential for the connection. This includes, but is not limited to, a compatible mobile device if the Services include a mobile component. The responsibility for any associated fees, encompassing those related to internet connection or mobile services, incurred while accessing Ticket Wallet Properties, rests entirely with you.

User Responsibility
Users should ensure their devices, software, and internet connections are up-to-date and capable of efficiently accessing Ticket Wallet Properties. This ensures an optimal user experience and access to all features and functionalities of the platform. Each user is expected to bear the cost of their internet or mobile services and any other expenses related to accessing Ticket Wallet’s digital platforms and services. - By accessing Ticket Wallet Properties, users acknowledge and agree to their role and responsibility in providing the necessary equipment and covering the associated costs. Ticket Wallet remains committed to offering a robust and user-friendly platform, optimized for accessibility and functionality across diverse devices and internet connections.
- You concur that when you submit any ideas, suggestions, documents, and/or proposals to Ticket Wallet via its suggestion, feedback, wiki, forum, or similar pages (“Feedback”), you do so at your own risk. Ticket Wallet is not obligated to uphold confidentiality or any other obligations in relation to such Feedback. You affirm that you possess all necessary rights to present the Feedback.

Grant of Rights
You bestow upon Ticket Wallet a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and exploit commercially or non-commercially, in any manner, all Feedback. Ticket Wallet is also granted the right to sublicense these rights in connection with the operation and maintenance of Ticket Wallet Properties. -
User’s Assurance
By submitting Feedback, you are asserting that it doesn’t infringe upon the rights of any third party and that you have the authority to grant the rights as mentioned above. You agree not to engage in the following activities under any circumstances:
- Interference: Disrupt or attempt to disrupt the proper operation of Ticket Wallet Properties, or connect to or use Ticket Wallet Properties in a manner not explicitly allowed by the Terms.
- Data Harvesting: Methodically retrieve data or content from Ticket Wallet Properties to compile a direct or indirect collection, database, or directory, whether manually, or through automated means like bots or crawlers.
- Unauthorized Display: Use, display, mirror, or frame Ticket Wallet Properties, any of its elements, Ticket Wallet’s trademarks, or proprietary information, or the layout/design of any page/form without Ticket Wallet's explicit written consent.
- Software Misuse: Utilize unauthorized software that accesses, intercepts, or mines information from or through Ticket Wallet Properties or is in transit to or from Ticket Wallet Properties.
- Protocol Breach: Intercept or observe any proprietary communication protocols used by Ticket Wallet Properties, either through network analyzers, packet sniffers, or similar devices.
- Automated Usage: Automate the use of Ticket Wallet Properties or impose an unreasonable or disproportionately large load on the infrastructure of Ticket Wallet Properties.
- Access Restriction Bypass: Circumvent any measures Ticket Wallet implements to restrict access or use software, technology, or devices to send content or messages, scrape, or harvest data.
- Unauthorized Connection: Facilitate or maintain unauthorized connections to Ticket Wallet Properties, including connections to unauthorized servers emulating part of Ticket Wallet Properties or connections using unapproved software/tools.
- Code Manipulation: Reverse engineer or attempt to extract the source code of the underlying software or intellectual property used to provide Ticket Wallet Properties or obtain any information from it.
- Malicious Software: Upload or transmit material containing software viruses or other harmful computer codes designed to interrupt or damage the functionality of computer software/hardware or telecommunications equipment.
- Personal Information Harvesting: Solicit personal information from other users of Ticket Wallet Properties.
- Information Misuse: Use Ticket Wallet Properties to collect or distribute information about another person or entity without their consent, including photographs, contact information, or financial details.
- False Information: Forge TCP/IP packet headers or part of header information in any email or posting, or use Ticket Wallet Properties to send altered or false source-identifying information.
- Information Transmission Mechanisms: Upload or transmit material that acts as an information collection or transmission mechanism, like clear GIFs, 1x1 pixels, web bugs, cookies, or similar devices, often referred to as "spyware" or "passive collection mechanisms."

In connection with your use of Ticket Wallet Properties, you are prohibited from:
- Harming Minors: Engaging in any action or behavior that causes harm or distress to minors.
- Impersonation: Impersonating any individual or entity, including, but not limited to, Ticket Wallet personnel, or misrepresenting your affiliation with a person or entity in a deceptive manner.
- Legal Violations: Intentionally or unintentionally violating any applicable local, state, national, or international laws or regulations, or any court orders.
- Multiple Accounts: Registering for more than one Account or creating an Account on behalf of someone other than yourself.
- Harassment: Stalking, harassing, or causing discomfort to any other user of Ticket Wallet Properties.
- Encouraging Misconduct: Advocating, encouraging, or assisting any third party in engaging in any of the prohibited activities mentioned above.
- You recognize and agree that the accessibility of the Application and the Services is contingent on the third party from whom you have obtained the Application license, for instance, the Apple App Store or Google Play (“App Store”). You understand that this agreement is between you and Ticket Wallet, not with the App Store. Ticket Wallet, not the App Store, is exclusively accountable for the Ticket Wallet Properties, including the Application, its content, maintenance, support services, and warranties, and addressing any related claims (such as product liability, legal compliance, or intellectual property infringement).

Requirements and Fees:
To use the Application, access to a wireless network is necessary, and you commit to bearing all fees associated with such access. You are also obliged to settle any fees (if applicable) charged by the App Store in connection with Ticket Wallet Properties, including the Application. -
Compliance:
Your license to utilize the Application is predicated upon your adherence to all pertinent third-party terms of agreement (e.g., the App Store’s terms and policies) when employing Ticket Wallet Properties, including the Application. -
Third-Party Beneficiaries:
You acknowledge the App Store (including its subsidiaries) as third-party beneficiaries of these Terms and accept that they possess the right to enforce these Terms accordingly. Your compliance is not just an obligation to Ticket Wallet but also a commitment recognized by the App Store entities, ensuring that user interaction with the app aligns with the established terms and conditions. - Ticket Wallet may apply fees for both buying and selling tickets through our platform, along with additional charges for ticket delivery or fulfillment (referred to as “Service Fees”). These fees will always be communicated to you before the completion of a transaction. We hold the right to modify our Service Fees and billing methods at any given time.
- If an event is canceled or if you, as a seller, fail to fulfill your obligations, Ticket Wallet may retain the Service Fees. All users are required to provide a valid credit card (Visa, MasterCard, or any other issuer accepted by us) or other approved Payment Methods as a prerequisite for using our services.
- If you’re a buyer, you are obligated to settle all fees or charges associated with your account as per the prevailing rates and billing terms at the time the fee or charge is due. Ticket Wallet is authorized to invoice your account for all applicable fees and charges without needing additional approval or notification.
- Despite our diligent efforts to maintain accurate pricing on the Ticket Wallet platform, there are instances where pricing errors may occur due to the vast number of tickets listed. In such cases, Ticket Wallet is not held liable for these discrepancies.
- In the event of a pricing error, Ticket Wallet will present the option to purchase the tickets at the corrected price. Should the revised price be unsatisfactory, buyers have the full liberty to cancel their orders without penalties.
- It’s essential to promptly inform Ticket Wallet about any changes in your billing address or the credit/debit card associated with your payment to ensure seamless transactions. Your adherence to this practice aids in avoiding unnecessary inconveniences and ensures that your experience with Ticket Wallet remains efficient and enjoyable.

- Cancellation of Events
In instances where an event is canceled and not rescheduled, Ticket Wallet will remove all listings related to that event from our platform and notify buyers of the cancellation, along with further instructions. Buyers must retain their tickets for such canceled events and return them either to Ticket Wallet or the original seller as instructed. Refunds or credits, subject to state laws, will be issued once the tickets are returned in the stipulated manner and timeline. We strive to comply with all applicable state laws regarding refunds for canceled events. If you believe you’re entitled to a refund under state law, but haven’t received one, please reach out to us at admin@ticketwallet.co.
- Postponement of Events
In cases where an event is postponed, Ticket Wallet will engage with buyers individually to address the issue. Please note that refunds or credits are not provided for postponed events unless they eventually get canceled.
- Other Changes to Events
Ticket Wallet is not liable for other alterations to events, such as changes in the venue, time, or lineup, or partial performances. Under such circumstances, refunds or credits will not be provided.
- Cancellation of Events
- Ticket Wallet is responsible for collecting and remitting sales tax on secondary sales in specific jurisdictions, including but not limited to Georgia, Idaho, and Texas, among others. We may expand this to additional jurisdictions as per regulatory and legislative requirements.
- Should any services or payments under our Terms be subjected to sales tax in any jurisdiction, you, as the user, will bear the responsibility for such sales tax payments, including any associated penalties or interest, to the relevant tax authority. You agree to indemnify Ticket Wallet for any liability or expense we might incur in connection with such sales taxes. When requested, you are obliged to provide us with official receipts or other evidence indicating the payment of all applicable taxes.
- For clarity, “Sales Tax” refers to any tax measured by sales proceeds, including sales or use tax, that Ticket Wallet is authorized to pass on to customers, especially in jurisdictions where a functional equivalent of a sales tax exists but is not explicitly imposed as a sales or use tax.
- Users are obligated to ensure that all fees paid to Ticket Wallet are not subjected to, or reduced by, any withholding taxes. If withholding taxes are applicable, users will bear the sole responsibility of managing these taxes, including providing Ticket Wallet with official receipts or other valid proof of tax payment from the relevant tax authority.
- Ticket Wallet utilizes external payment processing services to facilitate transactions. The process of payments will adhere to the terms and conditions stipulated by these third-party service providers, in addition to the Terms of Use of Ticket Wallet. If users have any disputes regarding charges on their credit card statements, they must notify Ticket Wallet within seven days after receiving the statement; otherwise, the dispute will be considered waived. Notifications for billing disputes should be sent to admin@ticketwallet.co.
- Ticket Wallet may offer credits, promo codes, or similar incentives ("Credits"). To apply these Credits, users must create an account and input their information on our platform. Credits have an expiration date, as indicated in the offer, or by default, one year after issuance if not otherwise specified. Credits are typically for one-time use; if the credit value exceeds the ticket price, the remaining balance will not be applicable for future purchases. Ticket Wallet holds the right to deactivate or withdraw any Credit under specific conditions, at any given time.

The Site offers various Promotions including sweepstakes, contests, games, and other engaging activities, each governed by its distinct set of rules. While these Terms provide a general framework for using our Site, each Promotion adheres to a specific set of guidelines and regulations which are integral to its operation. -

Priority of Promotion Rules
In cases where discrepancies arise between the general Terms and the specific rules of a Promotion, the latter takes precedence. - Users agree to indemnify and hold harmless Ticket Wallet, including its affiliates, officers, employees, and partners, from any losses, costs, liabilities, and expenses, including attorney fees, arising from:

- Use or misuse of Ticket Wallet properties;
- Violation of the Terms of Use;
- Infringement of the rights of others, including end-users of the services;
- Breach of any applicable laws, rules, or regulations; or
- Any conflicts or claims between the user and another user of Ticket Wallet.
- Ticket Wallet retains the right to assume exclusive defense control for matters subjected to indemnification by the user, requiring the user's full cooperation in asserting available defenses. The user is not required to indemnify Ticket Wallet for any fraudulent or unconscionable commercial practices related to the services or digital properties. These indemnification obligations will endure beyond the termination of the user's account, the Terms of Use, or access to Ticket Wallet properties.
- Users must understand and acknowledge that their use of Ticket Wallet properties is solely at their own risk. All Ticket Wallet properties are provided "as is" and "as available", inclusive of all faults. Ticket Wallet expressly disclaims all warranties, representations, and conditions, whether express or implied, including those related to merchantability, fitness for a particular purpose, and non-infringement.

- No oral or written advice or information obtained from Ticket Wallet will create any warranty unless expressly stated herein.
- Users may have access to "beta" features for testing; these are offered without any warranties, may be altered or discontinued at any time, and are meant for experimental purposes only.
- Users acknowledge that Ticket Wallet is not responsible for the actions of third parties or other users. Users are fully responsible for their interactions and communications with others on Ticket Wallet and are advised to exercise caution.
- In no event will Ticket Wallet be liable for indirect, incidental, special, or consequential damages, loss of profits, revenue, or data. This applies even if Ticket Wallet has been informed of the potential for such damages, under any legal theory, arising from:

- Costs incurred to substitute goods or services;
- Unauthorized access or alteration of user transmissions or data;
- Statements or conduct of any third party;
- Other matters related to Ticket Wallet.
- This limitation does not apply to death or personal injuries caused by Ticket Wallet’s negligence, fraudulent misrepresentation, or any damages that cannot be waived under applicable law.
- Users bear the sole responsibility for their communications and interactions with others. Ticket Wallet does not verify statements or listings of users, and any transactions made are at the users’ own risk. Ticket Wallet does not make any warranties or representations regarding ticket validity, or the completion of transactions by buyers or sellers.
- Ticket Wallet services are provided without any form of guarantee. Users are responsible for their interactions with others and third parties. Ticket Wallet is not liable for indirect or consequential damages, except in cases of death, personal injury, or where prohibited by law. Users should exercise caution and discretion while using the platform to ensure their safety and security.
- The total liability of Ticket Wallet to any user will not exceed the greater of (A) the total amount paid to Ticket Wallet by the user in the one-month period prior to the event leading to the liability or (B) the remedy or penalty imposed under the relevant statute. However, this limitation will not apply to cases of death or personal injury resulting from Ticket Wallet’s negligence, or any injury caused by Ticket Wallet’s fraud or fraudulent misrepresentation.
- While Ticket Wallet is committed to protecting your personal data as outlined in our Privacy Policy, we are not responsible for the timeliness, deletion, mis-delivery, or failure to store any user settings or personalized configurations.
- The aforementioned limitations of liability are essential components of the agreement between you and Ticket Wallet, establishing the foundation for our service provision and pricing.
- Ticket Wallet will, upon noticing any potential violations of these Terms, initiate an investigation. If the investigation reveals the likelihood of criminal activity, we retain the right to engage and cooperate with legal authorities. Subject to legal restrictions, Ticket Wallet is authorized to disclose any user information and materials to comply with legal processes, enforce these Terms, respond to customer service requests, or safeguard the rights, property, or safety of Ticket Wallet, its users, and the public, as deemed necessary or appropriate.
- Ticket Wallet’s liability is capped at the higher of the total payments made by a user within a month or the statutory remedy or penalty, except in cases of death, personal injury, or fraud. We don’t assume responsibility for the security of personalized settings, and any violations of the Terms will be rigorously investigated, with the potential for involving legal authorities if criminal activity is suspected. All user information may be disclosed as deemed necessary for legal compliance, enforcement of Terms, or protection of rights and safety.

Transaction Cancellation Rights
Ticket Wallet retains the authority to annul any ticket transaction and revert the tickets to the previous holder or our client under certain conditions without prior notification. These conditions include but are not confined to:
- The cancellation of an event without a reschedule.
- Non-receipt of payment due to issues with the buyer’s payment provider.
- Suspicion of unauthorized or fraudulent use of an account, as discerned solely by Ticket Wallet or our client.
- Any breach of these Terms of Use by a buyer, seller, or transferee.
- If, in our exclusive judgment, a ticket transaction contravenes legal stipulations.
- Pricing errors in tickets listed for sale via our service.
- Other conducts deemed inappropriate in connection with a ticket transaction, at our sole discretion.

Other Resources
Ticket Wallet is entitled to additional actions in specific situations, extending beyond the outlined remedies. These actions include the discontinuation of an individual's registration with any Ticket Wallet properties or services or other appropriate measures. These actions can be instigated under circumstances like:
- If unauthorized or fraudulent use of a buyer, seller, or transferee's account is suspected, at our sole discretion.
- Breach of these Terms of Use by any party involved.
- If we believe, exclusively, that a ticket transaction violates legal norms.
- Any inappropriate conduct associated with a ticket transaction, as solely determined by us or our client.

Transaction Cancellation Rights
- Commencement
These Terms are activated upon your acceptance and continue to apply for as long as you utilize the Ticket Wallet Properties, unless earlier terminated in alignment with these stipulations.
- Retrospective Application
If your engagement with Ticket Wallet Properties predates your acceptance of these Terms, you acknowledge that the Terms were in effect from your initial use of the properties and will continue unless terminated as per these guidelines.
- Ticket Wallet’s Right to Terminate
Ticket Wallet can suspend or terminate any Services provided to you without notice under certain conditions: failure of your Payment Provider to process payments, material breach of any provision of the Terms by you, or if legal requirements mandate the termination (such as in cases where offering the Services becomes unlawful).
- User-Initiated Termination
You may terminate the Services at your discretion by discontinuing your use of Ticket Wallet Properties.
- Consequences of Termination
Termination implies the revocation of access and the prohibition of future use of the terminated Service. Your right to use the Service ceases immediately upon termination, and Ticket Wallet isn’t obligated to offer any liabilities or explanations. Provisions that inherently extend beyond the termination will persist, including ownership provisions, disclaimers, and limitations of liability.
- Prohibition of Re-Registration
In the event of a termination due to a violation of these Terms, you are prohibited from attempting to re-register or access Ticket Wallet Properties using a different name or means. You acknowledge the forfeiture of any right to refunds related to the terminated Ticket Wallet Properties. Violation of this clause empowers Ticket Wallet to employ any of the actions outlined in these Terms immediately, without prior notice or warning.

These Terms serve as the binding agreement governing the use of Ticket Wallet Properties. They are initiated upon the user's acceptance and remain applicable until the cessation of the use of these services, either by the user or Ticket Wallet. These Terms cover previous use, conditions for both parties to terminate the agreement, and the implications of termination. Users are prohibited from attempting re-registration upon termination due to a violation of these Terms. - Ticket Wallet Properties can be accessed globally but may reference services not available in every country. These references do not imply that Ticket Wallet plans to offer these services in all locations. Ticket Wallet is controlled and offered from the U.S. It doesn't claim that its properties are suitable or available everywhere. Users accessing Ticket Wallet from other countries do so on their own initiative and must comply with local laws.

Mandatory Arbitration Agreement
This section outlines the agreement for resolving disputes between you and Ticket Wallet through individual arbitration. Please read carefully as it requires arbitration for disputes and limits the way relief can be sought. Both parties agree to arbitration on an individual basis, waiving rights to class arbitration, class actions, or other representative proceedings, including jury trials. -
Process of Dispute Resolution
Ticket Wallet aims for customer satisfaction and will attempt to resolve issues informally. For disputes, both parties must provide the opportunity to resolve issues informally through written notice. Disputes are directed to Ticket Wallet’s legal department. If a resolution is not reached within 60 days, either party can proceed to binding arbitration or small claims court. A tolling period of 60 days is allowed for engagement in informal dispute resolution. -
Arbitration Applicability
All disputes arising out of the Terms, use of Ticket Wallet properties, or related to the relationship with Ticket Wallet, including those predating these Terms, shall be resolved by binding arbitration, with exceptions for qualifying claims in small claims court, intellectual property disputes, or issues affecting the functionality or security of Ticket Wallet properties. - These Terms involve interstate commerce, and despite any other provision concerning the applicable substantive law, the Federal Arbitration Act (FAA, 9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of the Arbitration Agreement and any arbitration proceedings.
- Arbitrations will be administered by National Arbitration and Mediation (NAM) following its Comprehensive Dispute Resolution Rules and Procedures (NAM Rules), current at the commencement of the arbitration, except where modified in this section. You can review the NAM Rules at NAM’s website. In cases of Mass Filing (25 or more similar claims against Ticket Wallet), the NAM Mass Filing Rules will apply. Hearings will primarily be via videoconference, but in-person hearings can occur based on the arbitrator's discretion, held in your residing county or another agreed location.
- In instances of Mass Filing, if there are 100 or more similar individual arbitrations against Ticket Wallet filed or assisted by the same law firm or group within 90 days, NAM will:

- Administer these in batches of 100 claims (plus a final batch for any remainder under 100).
- Assign one arbitrator for each batch.
- Undertake each batch as a single consolidated arbitration with unified filing and administrative fees, one procedural calendar, a single hearing location determined by the arbitrator, and one final award (Batch Arbitration).
- If disagreements arise about Batch Arbitration, NAM will appoint a Procedural Arbitrator to decide on its applicability. Ticket Wallet will bear the Procedural Arbitrator’s fees. This clause doesn’t authorize any form of class, collective, or mass arbitration or action, or joint or consolidated claims, except as explicitly outlined here. Claims are deemed “substantially similar” if they relate to the same event or factual scenario, raise alike legal issues, and seek comparable relief.
- Both you and Ticket Wallet are responsible for paying fees assessed by NAM according to NAM Rules. Each party should bear its own attorneys’ fees and costs during the arbitration unless the arbitrator determines that the dispute or the sought relief is frivolous or has an improper purpose, as outlined in Federal Rule of Civil Procedure 11(b).
- Both parties agree to maintain the confidentiality of the arbitration existence, materials, documents exchanged during the arbitration process, and the award. These can only be shared with the parties’ attorneys, accountants, or business advisors under the condition of confidentiality. Cooperation to seek protection for sensitive information during the arbitration is mandated, to ensure privacy before any information exchange or discovery occurs.
- The arbitrator’s decision is final and binding, and judgment based on the award can be entered into any competent court. However, this doesn’t prevent you from bringing issues to the attention of federal, state, or local agencies that, under the law, may seek relief against Ticket Wallet on your behalf.
- The arbitrator, either a retired judge or an attorney licensed in New York, is selected from NAM’s roster of consumer dispute arbitrators. The arbitrator has the exclusive authority to resolve disputes, including those related to the interpretation or application of this Arbitration Agreement and its enforceability, revocability, scope, or validity. However, all disputes concerning the class action waiver, its enforceability, illegality, voidability, or breaches, will be decided by courts, not by an arbitrator, as outlined in the following section.
- In this section, both you and Ticket Wallet waive your rights to sue in court and have a trial in front of a judge or jury. Instead, you both elect to have all disputes resolved under this Arbitration Agreement. There is no judge or jury in arbitration, and the court's review of an arbitration award is limited.
- Both you and Ticket Wallet agree that, with certain exceptions connected to the batching process, claims can only be brought on an individual basis and not as part of a class, collective, or mass action. You both waive your rights to have any dispute brought, heard, or arbitrated as a class, collective, representative, or mass action. Individual relief is the only option, and the disputes of more than one customer or user cannot be arbitrated or consolidated with those of any other customer or user.
- If a final decision, not subject to further appeal or recourse, deems any part of this Class Action Waiver invalid or unenforceable for a particular type of relief (such as public injunctive relief), that specific request for relief can be litigated in courts after the completion of the arbitration.
- Both parties agree that, notwithstanding any contrary statute or law, any dispute must be filed in arbitration or small claims court within one year of its occurrence, except as tolled in this agreement, otherwise it will be forever banned.
- You have the right to opt out of this Arbitration Agreement within 30 days of first agreeing to it or becoming subject to it. To opt out, send a written notice indicating your decision to Ticket Wallet Legal Department, 12101 sw 89th ave, Miami, FL 33176. Your notice must include your name, address, Ticket Wallet username (if applicable), the email address linked to your Ticket Wallet account (if applicable), and an unequivocal statement of your intent to opt out of this Arbitration Agreement.
- If you opt out, the rest of this Agreement will still apply to you. Opting out doesn’t affect any other arbitration agreements you may have or enter into with Ticket Wallet in the future.
- If any portion of this Arbitration Agreement is found to be invalid or unenforceable under applicable law, that part will be considered null and void while the remaining parts of the agreement will continue to be valid and enforceable.
- This Arbitration Agreement will continue to be applicable and in force even after your relationship with Ticket Wallet ends, ensuring that any disputes arising post-termination are still subject to arbitration as outlined in the agreement.
- Ticket Wallet reserves the right to modify this Arbitration Agreement at any time. Users should regularly check this section for updates. Users' continued use of the services after changes signifies acceptance of those changes. Users can reject any changes within 30 days by writing to Ticket Wallet's legal department. These changes will not apply retroactively to claims filed before the changes took effect. Rejecting changes does not provide an opportunity to opt out of the arbitration if users previously agreed to arbitrate disputes under prior versions of the Terms.
- All communications between users and Ticket Wallet are conducted electronically, including but not limited to email and notifications posted on Ticket Wallet Properties. For legal and contractual purposes, users consent to receive electronic communications and agree that all terms, conditions, agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirements as if they were in writing.
- Users release Ticket Wallet and its associated entities from any claims, demands, losses, damages, rights, and actions arising from the purchase, sale, or promotion of tickets via Ticket Wallet platforms. This includes cases of personal injuries, death, and property damage. For California residents, the waiver extends to unknown claims due to the state’s specific civil code. However, this release does not cover claims related to unconscionable commercial practices, fraud, deception, or other such misconduct by Ticket Wallet.
- Users cannot assign, delegate, or transfer their rights and obligations under the Terms without Ticket Wallet’s written consent. Any attempt to do so without consent will be null and void. This clause ensures that the user agreements are personalized and non-transferable.
- Ticket Wallet is not liable for delays or failures in performance resulting from factors beyond its reasonable control, including natural disasters, acts of war, terrorism, and other major disruptions. This clause exempts the company from liability arising from uncontrollable events.

We are committed to resolving your concerns to your satisfaction. If you believe that your issue has not been resolved adequately, we encourage you to notify us for a more in-depth review.
- In scenarios where the initiation of court proceedings is permissible under this Agreement, both you and Ticket Wallet mutually agree that all claims and controversies arising from or related to these Terms shall be exclusively tried and settled in the state or federal courts situated in New York County, New York.
- THESE TERMS AND ANY ACTION ASSOCIATED THEREWITH SHALL BE DIRECTED AND EXPLAINED BY AND UNDER THE LEGISLATION OF THE STATE OF NEW YORK, IN LINE WITH THE FEDERAL ARBITRATION ACT, EXCLUDING ANY PRINCIPLES THAT ALLOW FOR THE IMPLEMENTATION OF LAWS FROM ANOTHER JURISDICTION. THE PROVISIONS OF THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS ARE NOT APPLICABLE TO THESE TERMS.
- For instances where Ticket Wallet mandates the provision of an email address, it is your obligation to ensure Ticket Wallet is supplied with your updated email details. If the last email address you shared with Ticket Wallet is invalid, or is unable to receive any notifications as mandated/permitted by these Terms for any reason, the sending of an email containing such notification by Ticket Wallet will still be regarded as an effective notification. Notifications to Ticket Wallet can be made to the following location: Ticket Wallet 12101 sw 89th ave, Miami, FL 33176. A notification is considered received by Ticket Wallet when delivered by a recognized overnight courier or when sent by first class, prepaid mail to the aforementioned address.
- The decision to refrain from enforcing any clause of these Terms at any given time shall not be construed as a waiver of any other clause or the same clause at any future time.
- Should any part of this Agreement be declared invalid or not enforceable, that section shall be interpreted as closely as possible to the original intentions of both parties, while the remaining sections shall continue to be valid and enforceable.
- Users are prohibited from utilizing Ticket Wallet Properties unless permitted by the law of the United States, the jurisdiction from where Ticket Wallet Properties were accessed, and other applicable regulations. Specifically, Ticket Wallet Properties should not be exported or re-exported into any country under U.S. embargo, or to individuals listed on the U.S. Treasury Department's Specially Designated Nationals or the U.S. Department of Commerce's Denied Persons List or Entity List. You are required to ensure that your usage of Ticket Wallet Properties does not involve transactions with persons listed on U.S. government's designated lists or in violation of any U.S. sanctions program. By accessing Ticket Wallet Properties, you confirm that you are not situated in a restricted location, are not a restricted party, and are not breaching U.S. sanctions regulations. You also agree to not utilize Ticket Wallet Properties for any illegal activities, including evading or bypassing U.S. sanctions. Ticket Wallet Properties are subject to U.S. export control laws and you agree to abide by them.

The subsequent conditions apply to applications accessed or downloaded from the Apple App Store:
- You agree that the Terms are established between you and Ticket Wallet, not with Apple. Ticket Wallet, not Apple, is responsible for the application and its content. Your usage of the application must adhere to the Apple App Store Terms of Service.
- Apple is under no obligation to provide maintenance and support services for the application.
- In case of any application’s failure to meet warranty standards, you can notify Apple, and Apple may refund the application’s purchase price. Beyond that, Apple has no warranty obligations. All other claims related to warranty failures are Ticket Wallet’s sole responsibility.
- Ticket Wallet, not Apple, will address any claims by you or third parties relating to the application or your possession and usage, including product liability claims, legal or regulatory compliance, and consumer protection claims.
- In case of a third-party claim that the application or your use of it infringes on intellectual property rights, Ticket Wallet, not Apple, will be responsible for the investigation, defense, settlement, and discharge of such claims.
- You and Ticket Wallet acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms regarding your license of applications from the App Store, and Apple can enforce these Terms against you.
- You must comply with all third-party terms when using applications from the App Store.
- These Terms constitute the complete and final agreement between you and Ticket Wallet and supersede all prior or contemporaneous agreements, discussions, or representations regarding the subject matter contained herein.
